C2C Industrial Properties Inc. recognizes the importance of effective, active and on-going corporate governance practices. The Company has implemented policies and procedures that ensure it will follow a path that protects shareholders, employees and other parties with whom it deals.
In its formative stage, C2C has established a Board of Directors comprised of five individuals, a majority of whom are independent as defined by governing legislation. The Company holds frequent Board Meetings to keep its members up to date on a formal basis and communicates regularly with individual Board Members where their expertise is brought to bear on operating or other corporate strategy issues.
The Board is responsible for ensuring that the business activities and affairs of C2C are effectively managed in a manner that protects shareholders, employees and other stakeholders.
Board members have been selected for their experience and knowledge in the areas of real estate and the management of public companies. The majority of the Board is independent and includes;

In order to facilitate the functions of the Board as independent of management and to maintain an independent majority, the committees below have been formed. Each committee meets regularly and its structures and policies serve to ensure that C2C operates in accordance to and within governance standards as required by applicable laws and regulations.
The Audit Committee is chaired by a Board member with extensive experience in financial matters and the operation of public entities. A majority of its members are independent. The Audit Committee operates in accordance with the Audit Committee Charter.
The Investment Committee is chaired by a Board member with more than thirty years of experience in the commercial property industry. A majority of its members are independent. The Investment Committee is primarily responsible for reviewing and giving formal approval for all proposed investments, property dispositions and initial mortgage placement.
The mandate of this committee is to ensure the compliance by C2C personnel with its code of business conduct and to deal with compensation issues related to executives. It also deals with nominating Board members.
